End-User License Agreement

IMPORTANT - READ CAREFULLY: This End-User License Agreement ("EULA") is a legal agreement between you (either an individual or a single entity) and JARVIS Omega for the JARVIS Omega software product, which includes computer software and may include associated media, printed materials, and online or electronic documentation ("Software").

By installing, copying, or otherwise using the Software, you agree to be bound by the terms of this EULA. If you do not agree to the terms of this EULA, do not install or use the Software.

1. Definitions

• "Software" means JARVIS Omega voice assistant application, including all executables, libraries, documentation, and updates.
• "Licensor" refers to JARVIS Omega and its authorized representatives.
• "Licensee" or "You" refers to the individual or entity that has downloaded or purchased the Software.
• "License Key" means the unique activation code provided upon purchase.
• "Authorized Device" means a computer or device on which the Software is properly licensed for use.

2. Copyright and Ownership

The Software is the proprietary property of JARVIS Omega and is protected by:

• United States copyright laws
• International copyright treaties and conventions
• Trade secret protections
• Patent and trademark laws

This Software is licensed, not sold. You acquire only the right to use the Software under the terms of this EULA. All rights not expressly granted are reserved by the Licensor.

3. Grant of License

3.1 Free License

The Free license grants you the right to:

• Install and use the Software on ONE (1) personal computer
• Access basic features for personal, non-commercial use only
• Receive limited technical support

3.2 Pro License

The Pro license grants you the right to:

• Install and use the Software on up to THREE (3) devices
• Access all premium features and themes
• Use for personal or business purposes
• Receive priority technical support

3.3 Business License

The Business license grants you the right to:

Install and use the Software on up to TEN (10) devices within your organization

Access all features including advanced API integrations

Commercial use rights

24/7 priority support with dedicated account manager

Custom branding options (white-label)

4. License Restrictions

4.1 Prohibited Actions

You are expressly prohibited from:

• Copying: Making copies of the Software except for one backup copy
• Distribution: Distributing, selling, renting, leasing, or sublicensing the Software
• Reverse Engineering: Decompiling, disassembling, or reverse engineering the Software
• Modification: Modifying, adapting, translating, or creating derivative works
• Removal of Notices: Removing or altering copyright, trademark, or proprietary notices
• Sharing: Sharing your license key or account credentials with others
• Cracking: Circumventing any license validation or activation mechanisms
• Commercial Exploitation: Using Free or Pro versions to provide commercial services to third parties
• Competing Products: Using the Software's code, algorithms, or design to develop competing products
• Unauthorized Transfer: Transferring the license without written consent from Licensor

4.2 Source Code

The Software is provided in binary/executable form only. The source code is proprietary and confidential. Any attempt to access, extract, or reverse engineer the source code is strictly prohibited and may result in:

• Immediate termination of your license
• Legal action for breach of contract
• Criminal prosecution under applicable laws
• Monetary damages and injunctive relief

4.3 Competitive Use

You may not use the Software to:

• Develop, test, or market a competing voice assistant product
• Benchmark against competing products for marketing purposes
• Extract proprietary algorithms or methods for use in other products
• Assist third parties in developing competing software

5. License Activation and Validation

The Software requires activation with a valid license key. By activating the Software, you agree that:

• The Software may periodically validate your license with our servers
• Internet connection is required for activation and validation
• We may collect device information to prevent license abuse
• License validation does not collect personal voice data
• Failure to validate may result in feature limitations or Software deactivation

6. Intellectual Property Protection

6.1 Trademarks

The following are registered trademarks of JARVIS Omega:

• JARVIS Omega™
• The JARVIS Omega logo and diamond icon
• All theme names and designs

You may not use these trademarks without express written permission.

6.3 Proprietary Technology

The Software contains proprietary and confidential information including:

• Voice recognition algorithms
• Command processing logic
• UI/UX designs and themes
• Performance optimization techniques
• Integration methods and APIs

All such information is trade secret and protected by law.

7. Updates and Support

7.1 Software Updates

We may provide updates, patches, or new versions of the Software. Updates may:

• Be automatically downloaded and installed
• Modify, add, or remove features
• Require acceptance of new terms
• Be mandatory for continued use

Updates are provided under the same license terms unless otherwise specified.

7.2 Technical Support

Support services vary by license type:

• Free: Community forum support only
• Pro: Email support with 48-hour response time
• Business: 24/7 priority support with 4-hour response time

Support does not include custom development or integration services.

8. Term and Termination

8.1 License Duration

• Free License: Perpetual, but may be terminated at our discretion
• Pro/Business License: Subscription-based, renewed automatically until canceled

8.2 Termination by Licensor

We may terminate your license immediately if you:

• Violate any terms of this EULA
• Engage in piracy or license key sharing
• Use the Software for illegal purposes
• Fail to pay subscription fees
• Attempt to reverse engineer or crack the Software

8.3 Effect of Termination

Upon termination, you must:

• Immediately cease all use of the Software
• Uninstall the Software from all devices
• Destroy all copies, including backups
• Certify compliance in writing if requested

Termination does not entitle you to a refund of subscription fees.

9. Warranty Disclaimer

Some jurisdictions do not allow exclusion of implied warranties, so the above may not apply to you.

10. Limitation of Liability

IN NO EVENT SHALL JARVIS OMEGA BE LIABLE FOR:

• INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
• LOSS OF PROFITS, REVENUE, DATA, OR USE
• BUSINESS INTERRUPTION OR COST OF SUBSTITUTE GOODS/SERVICES
• DAMAGES RESULTING FROM SYSTEM FAILURES OR DATA CORRUPTION
• CLAIMS BY THIRD PARTIES

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE SOFTWARE IN THE PAST 12 MONTHS, OR $100, WHICHEVER IS LESS.

11. Indemnification

You agree to indemnify, defend, and hold harmless JARVIS Omega from any claims, damages, losses, or expenses arising from:

• Your use or misuse of the Software
• Your violation of this EULA
• Your infringement of third-party rights
• Your illegal or unauthorized activities

12. Export Control

The Software and related technical data may be subject to U.S. export control laws, including the Export Administration Regulations (EAR). You agree not to export or re-export the Software to:

• Embargoed countries or regions
• Individuals or entities on restricted party lists
• End-users engaged in prohibited activities (e.g., weapons development)

Violation of export laws may result in criminal prosecution.

13. Audit Rights

We reserve the right to audit your use of the Software to ensure compliance with this EULA. Upon reasonable notice, you agree to:

• Provide information about installations and usage
• Allow inspection of relevant records and systems
• Cooperate with compliance verification processes

If the audit reveals under-licensing, you must immediately purchase additional licenses and pay audit costs.

14. Governing Law and Jurisdiction

This EULA is governed by the laws of [Your State/Country], without regard to conflict of law principles. Any disputes shall be resolved in the courts of [Your Jurisdiction].

You consent to personal jurisdiction and venue in these courts.

15. Entire Agreement

18. No Waiver

Our failure to enforce any right or provision of this EULA does not constitute a waiver of that right or provision.
