PLEASE READ THESE TERMS OF SERVICE CAREFULLY BEFORE USING JARVIS OMEGA SOFTWARE.

By downloading, installing, or using JARVIS Omega ("Software"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Software.

1. Acceptance of Terms

These Terms constitute a legally binding agreement between you ("User", "you", or "your") and JARVIS Omega ("we", "us", or "our"). By accessing or using the Software, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

2. License Grant

2.1 Free License

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to:

• Download and install the Software on a single device
• Use the free version for personal, non-commercial purposes
• Access basic features as described on our website

2.2 Paid License (Pro & Business)

Paid licenses grant additional rights:

• Pro License: Use on up to 3 devices, access to premium features
• Business License: Use on up to 10 devices, priority support, commercial use allowed

All paid licenses are subscription-based unless otherwise stated.

2.3 License Restrictions

You may NOT:

• Copy, modify, distribute, sell, or lease the Software
• Reverse engineer, decompile, or disassemble the Software
• Remove or alter any copyright, trademark, or proprietary notices
• Use the Software for illegal or unauthorized purposes
• Share your license key with others
• Use the Software to develop competing products
• Rent, lease, sublicense, or transfer your license to third parties

3. Account Registration

To access certain features, you may be required to create an account. You agree to:

• Provide accurate, current, and complete information
• Maintain the security of your account credentials
• Notify us immediately of any unauthorized access
• Accept responsibility for all activities under your account

We reserve the right to suspend or terminate accounts that violate these Terms.

4. Payment and Billing

4.1 Subscription Plans

Paid subscriptions are billed:

• Monthly: Charged every 30 days
• Yearly: Charged annually (discounted rate)

All prices are in USD and subject to change with 30 days notice.

4.2 Payment Processing

Payments are processed securely through Stripe. By providing payment information, you:

• Authorize us to charge the payment method on file
• Agree to automatic renewal unless canceled
• Acknowledge that no refunds are provided after the 14-day trial period

4.3 Free Trial

New users receive a 14-day free trial for paid plans. Your payment method will be charged automatically after the trial unless you cancel before the trial ends.

4.4 Refund Policy

Refunds are provided under the following conditions:

• Within 14 days of initial purchase (no questions asked)
• Technical issues preventing Software use (after troubleshooting attempts)
• Billing errors or unauthorized charges

Refunds are not provided for:

• Change of mind after 14 days
• Failure to cancel before renewal
• Misuse or violation of Terms

5. Cancellation and Termination

5.1 User Cancellation

You may cancel your subscription at any time by:

• Visiting your account settings
• Contacting support@jarvisomega.com

Cancellation takes effect at the end of the current billing period. No partial refunds for unused time.

5.2 Our Termination Rights

We reserve the right to suspend or terminate your access immediately if you:

• Violate these Terms or applicable laws
• Engage in fraudulent or abusive behavior
• Fail to pay subscription fees
• Use the Software in a manner that harms our systems or users

6. Intellectual Property Rights

JARVIS Omega and all related materials are protected by copyright, trademark, and other intellectual property laws. We retain all rights, title, and interest in:

• The Software source code and binaries
• Logos, trademarks, and branding materials
• Documentation, tutorials, and support content
• Proprietary algorithms and technology

No ownership rights are transferred to you. See our End-User License Agreement (EULA) for additional details.

7. User-Generated Content

If you submit feedback, suggestions, or bug reports, you grant us a worldwide, royalty-free license to use this information to improve the Software without compensation or attribution.

8. Prohibited Uses

You agree NOT to use JARVIS Omega for:

• Any illegal activities or purposes
• Harassment, threats, or harm to others
• Spamming, phishing, or distributing malware
• Unauthorized access to computer systems
• Interfering with the Software's security features
• Automated data scraping or excessive API calls
• Activities that violate third-party rights

9. Disclaimers and Warranties

We do not warrant that:

• The Software will meet your specific requirements
• The Software will be uninterrupted, timely, secure, or error-free
• Results obtained from using the Software will be accurate or reliable
• All defects will be corrected

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR:

• INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
• LOSS OF PROFITS, DATA, USE, OR GOODWILL
• BUSINESS INTERRUPTION OR SYSTEM FAILURES
• DAMAGES RESULTING FROM UNAUTHORIZED ACCESS TO YOUR DATA

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE SOFTWARE IN THE 12 MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify, defend, and hold harmless JARVIS Omega and its affiliates from any claims, damages, losses, or expenses (including legal fees) arising from:

• Your use or misuse of the Software
• Your violation of these Terms
• Your violation of third-party rights
• Content you submit or actions you take

12. Privacy and Data Protection

Your use of the Software is subject to our Privacy Policy, which explains how we collect, use, and protect your data. By using the Software, you consent to our data practices as described in the Privacy Policy.

13. Updates and Modifications

We may update the Software periodically to:

• Add new features or improvements
• Fix bugs and security vulnerabilities
• Comply with legal requirements

Updates may be automatic or require manual installation. Continued use after updates constitutes acceptance of changes.

14. Third-Party Services

• Availability or performance of third-party services

15. Export Compliance

Continued use after changes constitutes acceptance of the updated Terms.
